Terms & Conditions

Please read these Terms and Conditions carefully before using the BiTechForge website or engaging our services. These Terms govern the relationship between BiTechForge and its clients for all software development, design, and digital services.
1. Agreement to Terms
By accessing our website or engaging BiTechForge for any service — including software development, web design, UI/UX, SEO, digital marketing, or consulting — you agree to be bound by these Terms and Conditions.
If you do not agree, please discontinue use of our website and services immediately.
2. Services
BiTechForge provides bespoke software and digital services including, but not limited to:
• Custom web and mobile application development.
• UI/UX design and prototyping.
• Search engine optimisation (SEO) and content marketing.
• Digital marketing strategy and execution.
• Cloud infrastructure and DevOps support.
• Ongoing maintenance, retainer, and support agreements.
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate Statement of Work (SOW) or Project Agreement signed by both parties.
3. Project Agreements & Statements of Work
All project engagements are governed by a Statement of Work (SOW) or Project Agreement that specifies:
• Project scope and deliverables.
• Timeline and milestones.
• Payment schedule and amounts.
• Acceptance criteria.
• Change request procedures.
In the event of a conflict between these Terms and a signed SOW, the SOW takes precedence for that specific project.
4. Payment Terms
Unless otherwise agreed in writing:
• A deposit of 50% of the total project fee is due before work commences.
• The remaining balance is due upon project completion and delivery.
• Retainer and maintenance fees are invoiced monthly in advance.
• Invoices are payable within 14 days of the invoice date.
• Overdue payments accrue interest at 2% per month.
BiTechForge reserves the right to suspend or terminate services for accounts more than 30 days overdue.
5. Intellectual Property
Client-owned deliverables: Upon receipt of full payment, BiTechForge assigns to the client all intellectual property rights in the custom-developed code, designs, and content created specifically for that client under the applicable SOW.
BiTechForge retained materials: We retain all rights to our pre-existing tools, frameworks, libraries, templates, methodologies, and know-how. Where these are incorporated into client deliverables, we grant the client a perpetual, non-exclusive licence to use them as part of the delivered project.
Third-party components: Open-source software and third-party libraries are subject to their own licences. We will notify you of any material third-party dependencies.
6. Confidentiality
Both parties agree to keep confidential any non-public information disclosed during the course of the engagement, including business plans, technical specifications, pricing, and client data.
This obligation survives termination of the project or agreement for a period of 3 years.
7. Client Responsibilities
To enable us to deliver your project effectively, you agree to:
• Provide timely feedback, approvals, and access to necessary materials, accounts, or systems.
• Ensure any content, images, or data you supply does not infringe third-party rights.
• Designate a primary point of contact for the project.
Delays caused by late client feedback may result in revised timelines and potential additional costs.
8. Change Requests
Any changes to the agreed project scope must be submitted in writing and are subject to a Change Request process. BiTechForge will provide a revised estimate of cost and timeline impact for your approval before additional work commences.
9. Limitation of Liability
To the maximum extent permitted by law, BiTechForge's total liability to you for any claim arising from or related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim in the 3 months preceding the event.
BiTechForge is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption.
10. Warranties & Disclaimer
BiTechForge warrants that services will be performed with reasonable skill and care in accordance with the agreed specifications.
Except as expressly stated, all services are provided 'as is' without further warranty. We do not guarantee that software will be error-free or uninterrupted, though we commit to resolving defects identified within the warranty period specified in each SOW (typically 30 days post-delivery).
11. Termination
Either party may terminate a project engagement with 14 days' written notice.
On termination, you are liable for payment of all work completed up to the termination date. BiTechForge will deliver all completed work and relevant files upon receipt of outstanding payment.
BiTechForge may terminate immediately for non-payment, breach of these Terms, or conduct that is unlawful or harmful.
12. Governing Law
These Terms are governed by the laws of Bangladesh. Any disputes shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
13. Changes to These Terms
We may update these Terms from time to time. The 'Last Updated' date reflects the most recent revision. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
